Personally, I would just go for air cooling over the Corsair, since its better value and roughly same performance.

Don't worry about the graphics. That card is more than enough.
IE8 is the latest, I would go to Windows Update and update to that. Also, consider using an alternative browser. IE is ok, but something like Firefox or Chrome will be faster.
Try clearing the cache.

Nope, they're exactly the same.
Quad Channel and Dual Channel have to do with how many sticks of RAM you have, not the RAM itself.
2 sticks of 2GB ram=4GB dual channel
1 stick of 4GB ram=4GB single channel
4 sticks of 1GBram =4GB quad channel
Same amount of memory, different bandwidth.

Hmm... I think he said he wanted it as cheap as possible. For just an HTPC, those i7 combos would be overkill.
If you want to upgrade the mobo, you'll need to also upgrade the RAM. I recommend this combo:

You might not have to go with a new PSU, since the 5000 series effectively uses less power than the 4000 series, which I am running comfortably with a 300W PSU.
Try it out first and if you get random shutdowns and unreliability, its time for a new PSU.

It's just on-the-fly clock speed mods. So if your PC is idle it decreases CPU speed and at load increases it.

Yeah, it would work. Just make sure the one you buy has integrated speakers so you don't end up with no sound.
Also, unless you get a switchbox (available cheap), you'll have to manually unplug and replug HDMI cables to switch from your decoder box and computer.

There shouldn't be any unstability. You should be completely fine, though with a MOBO like that I would get an nVidia so I could SLI later on.

You can overclock with C&Q enabled; however, it seems to be a bit complicated.
